Important: These Terms of Service govern your use of SoCoAI services. By creating an account or using our platform, you agree to be bound by these terms. Please read them carefully.
1. Agreement to Terms
1.1 Acceptance
By accessing or using SoCoAI ("the Service", "Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.
1.2 Eligibility
- You must be at least 18 years old to use this Service
- You must have the legal capacity to enter into binding contracts
- You must not be prohibited from using the Service under applicable laws
- You represent that all information you provide is accurate and current
1.3 Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Platform at least 30 days before the effective date. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.
2. Service Description
2.1 Platform Services
SoCoAI provides:
- AI-powered social media comment management and automated response generation
- Multi-platform social media account management (YouTube, Instagram, Twitter, TikTok, Facebook)
- Comment analysis, filtering, moderation, and reporting tools
- Customizable AI response profiles and templates
- Engagement tracking, analytics, and performance metrics
- Automated and manual comment response options
- Sentiment analysis and comment categorization
2.2 Third-Party API Integration
Our Service integrates with third-party platforms using their official APIs. By using SoCoAI, you also agree to comply with the terms of service of these platforms:
- YouTube & Google APIs: Subject to YouTube API Services Terms and Google Privacy Policy
- Meta Platforms (Instagram & Facebook): Subject to Meta Platform Terms and Platform Policy
- Twitter/X API: Subject to Twitter Developer Agreement
- TikTok API: Subject to TikTok Developer Terms
⚠️ API Compliance Notice:
You acknowledge that violations of third-party platform policies may result in:
- Immediate suspension or termination of your SoCoAI account
- Removal of API access to the affected platform(s)
- Reporting to the respective platform provider
- Legal action if applicable
2.3 API Rate Limits and Quotas
Third-party APIs impose usage quotas and rate limits. We allocate these resources fairly among users based on subscription tiers. Excessive use may result in temporary service restrictions. We are not responsible for limitations or changes imposed by third-party API providers.
2.4 Service Availability
While we strive for 99.9% uptime, the Service is provided "as is" and "as available" without warranties. We do not guarantee uninterrupted, secure, or error-free service. Scheduled maintenance will be announced in advance when possible.
2.5 Beta Features
Features marked as "Beta", "Experimental", or "Preview" are provided for testing purposes and may contain bugs, be incomplete, or be discontinued without notice. Use of beta features is at your own risk.
3. Account Registration and Security
3.1 Account Creation
- You must provide accurate, complete, and current information
- You are responsible for maintaining your account credentials securely
- You may not create multiple accounts for the same individual or entity
- You may not impersonate others or misrepresent your identity
- Business accounts must be registered under the legal business name
3.2 Account Security
- You are solely responsible for all activities under your account
- Use a strong, unique password and enable two-factor authentication (2FA)
- Do not share your account credentials with anyone
- Notify us immediately if you suspect unauthorized access
- We are not liable for losses due to unauthorized use of your account
3.3 Social Media Account Linking
When connecting social media accounts to SoCoAI:
- You authorize us to access your account data as permitted by OAuth scopes
- We access only the minimum required data (comments, basic profile info)
- You can revoke access at any time through your account settings
- You must have proper authorization to connect business/brand accounts
- Sharing login credentials violates platform terms - use OAuth only
3.4 Account Suspension and Termination
We may suspend or terminate your account if:
- You violate these Terms or third-party platform policies
- We detect fraudulent or illegal activities
- Payment obligations are not met
- Your account is inactive for 180 days or longer
- We are required to do so by law or court order
- You engage in abusive behavior toward other users or our staff
Upon termination, your right to use the Service ceases immediately. We may delete your data after 30 days of account closure, subject to legal retention requirements.
4. User Obligations and Prohibited Conduct
4.1 Acceptable Use
You agree to:
- Use the Service only for lawful purposes
- Comply with all applicable laws and regulations
- Respect the intellectual property rights of others
- Review AI-generated responses before publishing
- Take responsibility for all content published through the Service
- Maintain the security and confidentiality of your account
4.2 Prohibited Activities
You must NOT:
- Spam & Abuse: Generate excessive, unsolicited, or spam content
- Harmful Content: Create hate speech, harassment, violence, or illegal content
- Misinformation: Deliberately spread false or misleading information
- Impersonation: Pretend to be someone else or create fake accounts
- IP Violation: Infringe on copyrights, trademarks, or patents
- Security Breaches: Hack, probe, scan, or test system vulnerabilities
- API Abuse: Circumvent rate limits, scrape data, or reverse engineer
- Malware: Upload or distribute viruses, malware, or malicious code
- Deceptive Practices: Engage in clickbait, manipulation, or deceptive tactics
- Automated Abuse: Use unauthorized bots or automation tools
- Data Harvesting: Collect user data without consent
- Commercial Misuse: Resell or redistribute our Service
4.3 AI Content Responsibility
⚠️ Critical: You are legally responsible for all AI-generated content
AI-generated responses are suggestions only. You must review, verify, and approve all content before publication. SoCoAI is not liable for any AI-generated content you publish. Ensure all content complies with platform policies and applicable laws.
4.4 Platform-Specific Compliance
You must comply with each connected platform's community guidelines, terms of service, and content policies:
- YouTube: Follow Community Guidelines and spam policies
- Instagram: Adhere to Community Guidelines and Commerce Policies
- Twitter/X: Comply with Twitter Rules and Automation Rules
- TikTok: Follow Community Guidelines and Creator Terms
- Facebook: Adhere to Community Standards
5. Intellectual Property Rights
5.1 Our Intellectual Property
SoCoAI and all related content, features, and functionality (including but not limited to design, text, graphics, logos, icons, images, audio clips, video clips, data compilations, page layout, underlying code and software) are owned by SoCoAI and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may NOT:
- Copy, modify, distribute, or create derivative works from our content
- Reverse engineer, decompile, or disassemble the Platform
- Remove or alter any copyright, trademark, or proprietary notices
- Use our trademarks or branding without written permission
5.2 Your Content
You retain ownership of content you create, upload, or generate through the Service. However, by using SoCoAI, you grant us a worldwide, non-exclusive, royalty-free license to:
- Store, display, and process your content to provide the Service
- Use aggregated, anonymized data to improve our AI models
- Perform backups and necessary technical operations
- Comply with legal obligations and enforce these Terms
This license terminates when you delete your content or account, except for content that has been shared with others or is required for legal compliance.
5.3 AI-Generated Content
AI-generated responses created through our Service are provided to you for your use. However, similar responses may be generated for other users. We make no claim of exclusivity to AI-generated content.
5.4 Feedback
If you provide feedback, suggestions, or ideas about the Service, we may use them without any obligation to compensate you.
6. Subscription Plans and Payment
6.1 Pricing
SoCoAI offers free and paid subscription plans. Current pricing is displayed on our website and may be changed with 30 days' notice to existing subscribers.
6.2 Billing Terms
- Subscription fees are billed in advance on a monthly or annual basis
- Payment is due upon subscription or renewal
- Subscriptions auto-renew unless cancelled before the renewal date
- Accepted payment methods: Credit card, PayPal, cryptocurrency
- All fees are non-refundable except as required by law
- Prices include applicable taxes (VAT, sales tax, etc.)
6.3 Cancellation and Refunds
- You may cancel your subscription at any time from account settings
- Cancellation takes effect at the end of the current billing period
- No refunds for partial months or unused portions
- 14-day money-back guarantee for first-time annual subscriptions (if service not yet used)
- Refunds for technical issues evaluated case-by-case
6.4 Payment Processing
Payments are processed by third-party payment providers (Stripe, PayPal, CoinGate). We do not store your credit card information. Payment processing is subject to the provider's terms of service.
6.5 Failed Payments
If a payment fails, we will attempt to retry. After multiple failed attempts, your subscription may be downgraded or suspended. You remain responsible for all outstanding fees.
7. Disclaimers and Limitations of Liability
7.1 "As Is" Service
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
7.2 No Warranty
We do not warrant that:
- The Service will meet your requirements
- The Service will be uninterrupted, secure, or error-free
- AI-generated content will be accurate, appropriate, or compliant
- Defects will be corrected
- Third-party APIs will remain available or unchanged
7.3 Third-Party Services
We are not responsible for the availability, accuracy, or content of third-party services (YouTube, Instagram, etc.). Changes to third-party APIs or policies may affect Service functionality without notice.
7.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCOAI SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or use
- Business interruption or loss of business opportunity
- Reputational harm
- Third-party claims arising from your use of the Service
- Content generated or published by AI
- Actions or inactions of third-party platforms
IN ANY EVENT, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
7.5 Indemnification
You agree to indemnify, defend, and hold harmless SoCoAI, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising from:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of third-party rights or platform policies
- Content you create, publish, or distribute
- Your negligence or willful misconduct
8. Data Privacy and Security
8.1 Privacy Policy
Our collection and use of personal information is described in our Privacy Policy. By using the Service, you consent to our privacy practices.
8.2 GDPR Compliance
For users in the European Union, we comply with the General Data Protection Regulation (GDPR). You have rights regarding your personal data as described in our Privacy Policy.
8.3 Data Security
We implement industry-standard security measures to protect your data. However, no system is 100% secure. You acknowledge the inherent risks of internet transmission.
8.4 Data Breach Notification
In the event of a data breach affecting your personal information, we will notify you and relevant authorities as required by applicable law, typically within 72 hours of discovery.
9. Governing Law and Dispute Resolution
9.1 Governing Law
These Terms are governed by and construed in accordance with the laws of Turkey, without regard to conflict of law principles. For users outside Turkey, local consumer protection laws may also apply.
9.2 Jurisdiction
Disputes shall be resolved in the courts of Istanbul, Turkey. EU consumers may also bring claims in their country of residence under applicable consumer protection laws.
9.3 Informal Resolution
Before filing a claim, please contact us at legal@socoai.com to seek informal resolution. We commit to resolving disputes in good faith.
9.4 Class Action Waiver
To the extent permitted by law, you agree to resolve disputes individually and waive any right to participate in class actions or collective proceedings.
10. General Provisions
10.1 Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and SoCoAI regarding the Service.
10.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.
10.3 Waiver
No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
10.4 Assignment
You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
10.5 Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of government, or network outages.
10.6 Survival
Sections that by their nature should survive termination (including IP rights, indemnification, disclaimers, and limitations of liability) shall survive.
10.7 Language
These Terms are provided in multiple languages for convenience. In case of conflict, the English version prevails.
